These Terms of Service ("Terms") govern your access to and use of the PAREL platform, CLI, web console, and APIs (the "Service"), operated by PONDER PRIVATE LIMITED, a company incorporated in Singapore ("PAREL", "we", "us"). By creating an account, deploying an agent, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
PAREL lets you deploy and run long-running AI agents that may execute code in cloud sandboxes, call third-party model providers, and use composable plugins. You are responsible for the configuration, prompts, code, and credentials you supply, and for the behavior of the agents you deploy. To operate the Service, you grant PAREL and our service providers a worldwide, non-exclusive, royalty-free license to host, copy, transmit, execute, and process your agent configurations, code, prompts, credentials, and content solely to provide, secure, meter, and support the Service — including running agents, forwarding requests to model and sandbox providers, and retaining execution logs.
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. The Service is intended for business and professional use and is not directed to children. By creating an account you represent that you meet these requirements and that the information you provide is accurate.
You agree not to use the Service, or permit any agent you deploy to be used, to:
The Service is not designed for and must not be relied upon for high-risk uses where failure could lead to death, personal injury, or environmental damage, and AI outputs do not constitute professional (including medical, legal, or financial) advice. We may suspend or terminate accounts that violate this section, with or without notice, and may throttle or block workloads that threaten the stability, security, or lawful operation of the Service.
You are responsible for safeguarding your API keys and account credentials and for all activity under your account. Notify us promptly at contact@parel.sh of any unauthorized use. API keys can be scoped, expired, and revoked from the console. The Service is subject to rate limits and fair-use controls, which we may adjust to protect the platform.
The Service is prepaid: you add funds to a USD balance and are charged for model usage (per token) and platform costs as you consume them. Usage is metered asynchronously, so charges may post to your balance up to several hours after the underlying activity. You may enable automatic top-ups, which authorize us to charge your saved payment method a recurring, variable amount whenever your balance falls below the threshold you configure, until you disable top-ups or remove the payment method; you can change or cancel this authorization at any time in the console. You may instead bring your own provider keys (BYOK) and pay those providers directly.
Charges and prepaid balances are non-refundable except where required by law or expressly stated. If your account is terminated by you, or by us for convenience, any unused, lawfully-paid balance will be refunded on request to the extent required by applicable law; if we terminate for your material breach of these Terms, remaining balance may be forfeited to the extent permitted by law. Initiating a chargeback on a legitimate charge may result in suspension pending resolution. Pricing is described on our pricing page and may change with notice.
Your content. As between you and PAREL, you retain all rights in the code, prompts, configurations, and other content you provide ("User Content"). The license in Section 1 is limited to operating the Service for you.
AI outputs. Subject to third-party model-provider terms and applicable law, as between you and PAREL the outputs your agents generate are yours. Outputs may be non-unique and are subject to the terms of the model provider that produced them.
Feedback. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.
Our IP. PAREL retains all right, title, and interest in the Service, including its software, infrastructure, documentation, know-how, and trademarks. No rights are granted except as expressly stated in these Terms.
The Service integrates third parties including model providers, sandbox providers, payment processors, and authentication and infrastructure vendors. Your use of those features is also subject to the relevant third party's terms, and we are not responsible for their acts or omissions.
Our Privacy Policy explains how we handle personal data. If you use the Service to process personal data of your own end users, you are responsible for having a lawful basis and for providing any notices or consents those individuals require. We will update our Privacy Policy when we add or change sub-processors.
You agree to comply with all applicable export control and economic-sanctions laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in a comprehensively sanctioned jurisdiction, and that you are not a restricted or denied party on any applicable sanctions or export list. You may not use the Service to support any prohibited end use. We may suspend access if we reasonably believe these requirements are breached.
You agree to defend, indemnify, and hold harmless PAREL and its officers, directors, employees, and agents from any third-party claims, damages, liabilities, and costs (including reasonable legal fees) arising from or relating to: (a) your use of the Service; (b) your agents' code, configuration, content, and behavior; (c) User Content and prompts; (d) your violation of applicable law or third-party rights; or (e) your breach of these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INACCURATE; YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING THEM BEFORE RELYING ON THEM. PAREL IS IN BETA, IS PROVIDED WITHOUT ANY SERVICE- LEVEL OR UPTIME COMMITMENT, AND MAY BE CHANGED, SUSPENDED, OR DISCONTINUED AT ANY TIME.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAREL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these Terms or to protect the Service. On termination, the license in Section 1 ends and we may delete your data subject to the retention windows in the Privacy Policy. Sections that by their nature should survive — including 5 (accrued charges), 6, 10, 11, 12, 14, and 16 — survive termination.
These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules. Subject to any non-waivable rights you have under local consumer law, the courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service; alternatively, at either party's election, such disputes may be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in Singapore. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
We may update these Terms. We will post the updated Terms with a new "last updated" date and, for material changes, give notice through the Service or by email before they take effect. Continued use after the effective date constitutes acceptance.
Neither party is liable for failures caused by events beyond its reasonable control (force majeure). You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remainder stays in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and PAREL regarding the Service and supersede prior agreements. Our failure to enforce a provision is not a waiver. We may give notices through the Service or to the email associated with your account.
